Common, Terms of Service

1. Acceptance of these Terms

By creating an account, accessing, or using the Common mobile application and related services (the “Service”), you agree to these Terms of Service (“Terms”) and to our Privacy Policy and Community Guidelines, which are incorporated by reference. If you do not agree, do not use the Service. You must be at least 18 years old to use the Service; we ask for your date of birth when you create your account and refuse the account if it shows you are under 18.

2. What Common is, and is not

Common is a technology platform that connects travelers with independent local hosts who propose in-person group activities (“Moments”).

Common is not a tour operator, travel agency, tour guide, or guide service. Common does not own, operate, sell, organize, lead, supervise, or control the Moments listed on the platform. Common is not a party to any arrangement between a host and a traveler. The platform is a venue for individuals to discover one another and meet in the real world. Common does not set activity prices, build itineraries, curate or sell specific paid tours, employ or pay hosts, or take any commission on activities; host verification is a trust-and-safety measure, not the operation of a tour.

3. Roles

  • Travelers access the map and Moments. Joining a Moment is currently free: during the launch period, no subscription exists and none is required. Once the Traveler Pass (Section 7) launches in a future update, joining Moments will require an active Traveler Pass subscription. Travelers do not pay Common for any individual Moment.
  • Local hosts are independent individuals, not employees, agents, contractors, partners, or representatives of Common. Hosting a Moment is free. Every host application is reviewed by our team before approval (Section 9).
  • Common operates the platform, reviews accounts and host applications, and moderates content.

4. Host responsibilities and independence

Each host is solely responsible for the Moments they offer, including:

  • obtaining and maintaining any permits, licenses, registrations, and authorizations required by their local jurisdiction (including, where applicable, tourism, guiding, food-handling, transport, or venue permits);
  • complying with all local laws and regulations applicable to their activities, including immigration, labor, and guiding-license rules (for example, in Thailand, the profession of tour guide is reserved to Thai nationals, hosts must not hold themselves out as licensed guides unless lawfully entitled to do so);
  • paying their own taxes and social contributions where applicable; hosts collect no money from travelers (Section 5);
  • maintaining adequate liability insurance for the activities they offer;
  • accurately describing each Moment, its risks, and any real-world costs that participants should expect to pay directly to third-party vendors (Section 5).

Hosts act on their own behalf. Common does not direct or control the manner, means, schedule, pricing, or content of any Moment.

5. No money flows through Common for activities, and none between users

Common does not process, collect, hold, or remit any payment for Moments, and hosts never request or collect money from travelers in any form.

  • The Service contains no structured price field, wallet, escrow, or traveler-to-host payment mechanism for activities.
  • Hosts must not request, collect, or accept money or any other compensation from travelers, whether in cash, electronically, or otherwise, for a Moment or in connection with one.
  • Where a Moment involves real-world costs (for example, food, entry tickets, or rentals), each participant pays the vendor directly for their own share. A host describing such costs in the Moment text is informational only and creates no payment obligation toward the host.
  • Common is not a party to, and has no involvement in, visibility over, or responsibility for, purchases participants make from third-party vendors.

6. No guarantee; assumption of risk by travelers

Our team reviews the first photo on every profile to confirm the account belongs to a real person, and reviews every host application by hand before approval. Where we need to confirm who someone is, we may ask for an identity document. These are trust-and-safety measures, not a background check: Common does not guarantee the quality, safety, legality, suitability, accuracy, or outcome of any Moment, host, or traveler.

By joining a Moment, each traveler acknowledges and agrees that:

  1. the host, not Common, is responsible for the Moment;
  2. participation is at the traveler’s own risk, and the traveler is responsible for assessing whether a Moment is appropriate and safe for them;
  3. some Moments may involve physical activity (e.g., hiking, swimming, cycling, motorcycling, watersports); hosts must disclose risks, and travelers should ensure they have appropriate insurance;
  4. any real-world cost mentioned in a Moment is paid by each participant directly to the vendor for their own share; hosts never collect money from travelers, and Common is not involved in those purchases;
  5. meeting strangers in person carries inherent risk; travelers should use good judgment, meet in public where possible, and use the in-app safety tools.

7. The Traveler Pass (subscription) and Apple/Google billing

During the current launch period, the Service is free: joining Moments requires no subscription and no payment. The Traveler Pass is not yet available; the terms in this Section apply only once the Traveler Pass launches in a future update, which will be announced in-app.

Once it launches, joining Moments will require an active Traveler Pass, an auto-renewing subscription (EUR 15 per week, or the local price shown at purchase).

  • On iOS, the Traveler Pass is sold exclusively through Apple In-App Purchase; on Android, through Google Play Billing. Payment is charged to your Apple ID / Google account at confirmation of purchase. Common does not receive your card details.
  • Subscriptions auto-renew unless cancelled at least 24 hours before the end of the current period. Manage or cancel in your device's account settings; deleting the app does not cancel a subscription.
  • Prices may change with notice as permitted by the app stores and applicable law.
  • Refunds are handled by Apple / Google under their policies.
  • The Traveler Pass unlocks the ability to join Moments for its duration; it is not a payment for any specific Moment or for goods/services consumed in the real world.

7.1 EU/EEA/UK consumer rights (Traveler Pass)

If you are a consumer resident in the EU/EEA or the United Kingdom, the following additional rights apply (Consumer Rights Directive 2011/83/EU, the Omnibus Directive 2019/2161, and national implementations including, where applicable, France's L. 215-1 et seq. on easy termination):

  • Pre-contract information. Before purchase, you are clearly informed of the price (inclusive of taxes), the recurring nature and frequency (weekly), the duration of the commitment, and the conditions for cancellation.
  • 14-day right of withdrawal. You have a 14-day right of withdrawal from the date of purchase to cancel the Traveler Pass without giving any reason and obtain a refund, unless the supply of the digital service has begun during the withdrawal period with your prior express consent and your acknowledgment that you thereby lose your right of withdrawal. By tapping "Start now" (or equivalent) at purchase, you give that express consent and acknowledge the loss of the withdrawal right. If you do not give that consent, the Pass will activate only after the 14-day period.
  • Easy cancellation. You can cancel the Traveler Pass at any time. Because the subscription is sold through the Apple App Store / Google Play, the cancellation flow is the one provided by the store; we provide an in-app shortcut ("Manage subscription") that opens that flow directly. Cancellation does not require justification.
  • Renewal reminders and price changes. Where required by law, the app store will notify you ahead of renewal and ahead of any price increase.

7.2 Refunds outside EU/EEA/UK

Outside the EU/EEA and UK, refunds are at the discretion of Apple / Google under their respective policies. Common does not process refunds directly for the Traveler Pass and cannot reverse a store-initiated charge.

8. Acceptable use and zero-tolerance policy

You agree not to use the Service to engage in, facilitate, promote, or solicit:

  • any sexual activity, escorting, prostitution, or solicitation, or any romantic/dating service;
  • any activity involving minors without a lawful guardian, or any child sexual abuse material or exploitation;
  • human trafficking, coercion, or exploitation of any kind;
  • illegal drugs or other unlawful activity;
  • harassment, hate speech, discrimination, threats, or violence;
  • fraud, spam, impersonation, or fake profiles.

There is zero tolerance for objectionable content or abusive behavior. We may remove content and suspend or permanently ban any user, without notice where permitted, subject to the complaint and appeal mechanisms required by applicable law (including the EU Digital Services Act), and we cooperate with law enforcement and child-protection authorities (including, where relevant, ECPAT) when we become aware of unlawful activity.

9. Reporting, moderation, and enforcement

Every host application is manually reviewed by our team before approval, and every Moment is reviewed by our team before it is published on the map. In addition to this proactive review, the Service provides tools to report Moments and users and to block other users. Reports are reviewed by our moderation team. We may, at our sole discretion, remove content, restrict features, suspend, or terminate accounts that violate these Terms or our Community Guidelines. We act on objectionable-content reports promptly (and aim to do so within 24 hours). Blocking a user hides their content from you within the app. EU users may contest a moderation decision through our in-app complaint mechanism and applicable out-of-court dispute settlement.

10. Account deletion and termination

You may delete your account at any time, from within the app (Profile → “Delete account”). Deletion is permanent and removes your profile and associated data, subject to limited retention required by law (see the Privacy Policy). We may suspend or terminate your access for any breach of these Terms.

11. Intellectual property; your content

The Service, including its software, design, and trademarks, is owned by Common or its licensors. You retain ownership of content you submit (e.g., Moment descriptions, photos, and ratings), and you grant Common a worldwide, non-exclusive, royalty-free license to host, display, and distribute that content within the Service for the purpose of operating it. You are responsible for having the rights to any content you submit.

12. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. COMMON DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY MOMENT WILL MEET YOUR EXPECTATIONS. Some jurisdictions do not allow certain disclaimers; in that case, the disclaimers apply to the fullest extent permitted by law.

13. Indemnification

In this Section and in Section 14, "Common" includes the people who operate the Service with us, whatever their status: Common is currently run by one individual with a small team working alongside him, so the protections below would be worth nothing to that team if they named only officers and employees.

13.1 Hosts. Each host agrees to indemnify, defend, and hold harmless Common, its officers, directors, employees, contractors, team members, and affiliates from and against any claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) the Moments they offer through the platform; (b) any failure to comply with applicable laws, permits, or tax obligations; (c) any injury, harm, or loss caused to travelers or third parties in connection with their Moments; or (d) their breach of these Terms.

13.2 Travelers. Each traveler agrees to indemnify, defend, and hold harmless Common and its officers, directors, employees, contractors, team members, and affiliates from and against any claims arising out of or relating to: (a) the traveler's conduct during or in connection with a Moment, including any injury, damage, or loss caused by the traveler to a host, another traveler, or a third party; (b) the traveler's breach of these Terms or our Community Guidelines; or (c) the traveler's violation of applicable law. This Section 13.2 does not apply to claims caused by Common's negligence or willful misconduct, and it does not affect any consumer right that cannot be waived under applicable local law.

13A. Child safety and reporting (CSAE / CSAM)

Common operates a zero-tolerance policy against child sexual abuse and exploitation (CSAE) and child sexual abuse material (CSAM). We do not permit minors on the Service (see Section 1). Where we become aware of CSAM or of conduct suggesting child exploitation, we will:

  • immediately remove the content and suspend or terminate the account(s) involved;
  • report the matter to the National Center for Missing & Exploited Children (NCMEC) in the United States, and to the competent authorities in the user's jurisdiction (including, where relevant, ECPAT partners, the Internet Watch Foundation (IWF) in the UK, Pharos in France, the Royal Thai Police's Anti-Trafficking units, and the Indonesian National Police);
  • preserve relevant data for the period required by law to assist investigations.

Reports may also be made by any person at safety@common-app.co and through the in-app report tool. We treat such reports with the highest priority.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMMON AND THE PEOPLE WHO OPERATE THE SERVICE WITH US WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATING TO THE SERVICE OR ANY MOMENT, EVEN IF ADVISED OF THE POSSIBILITY. COMMON’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (i) THE AMOUNTS YOU PAID COMMON IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (ii) USD 100.

Nothing in these Terms excludes or limits our liability for (a) death or personal injury caused by our negligence, (b) fraud or fraudulent misrepresentation, or (c) any liability that cannot be lawfully excluded. Because Moments are in-person activities run by independent hosts, Common is not liable for a host’s acts or omissions; travelers assume the risks of participation (Section 6), and Common maintains (or will maintain) appropriate liability insurance.

15. Governing law; jurisdiction; class-action waiver

These Terms are governed by the laws of Switzerland, without regard to conflict-of-laws rules. Except where prohibited by applicable local law, any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the competent courts of Switzerland, in English or the official language required by the court. You and Common waive any right to a jury trial and to participate in a class action. Where mandatory local consumer law grants you non-waivable rights or forums (including in the EU, Thailand, or Indonesia), those rights are unaffected.

If you are a consumer resident in the EU/EEA, the UK, Thailand, or Indonesia, nothing in this section deprives you of the mandatory protections of your local law or of the right to bring proceedings in the courts of your place of residence; the jurisdiction and class-action-waiver provisions do not apply to you to the extent your local law prohibits them.

16. EU Digital Services Act (DSA), for users in the European Union

This section applies to recipients of the Service in the European Union and complements Sections 8 and 9. It is intended to satisfy Common's obligations as an intermediary / hosting service (and, where applicable, an online platform) under Regulation (EU) 2022/2065 (the "DSA").

16.1 Single point of contact. Authorities, recipients, and trusted flaggers may contact Common at dsa@common-app.co for matters relating to the DSA. We accept communications in English and French.

16.2 Legal representative. Because Common is established outside the Union, a legal representative in the Union has not yet been appointed; one will be appointed as required under the DSA. Their contact details will be published here once appointed.

16.3 Notice-and-action mechanism. Any person or entity may notify us of content they consider illegal through the in-app reporting tools (each Moment and profile has a "Report" action) or by email at dsa@common-app.co. Notices should include enough information to locate the content and to understand why it is alleged to be illegal, together with a good-faith statement that the information is accurate.

16.4 Action on notices. We review notices in a timely, non-arbitrary, objective, and diligent manner. Where content is manifestly illegal (in particular, content related to child sexual exploitation, human trafficking, or other serious crimes), we act expeditiously, typically within 24 hours of becoming aware of it, to remove or disable access to the content, and we report it to the competent authorities where required by law.

16.5 Statement of reasons. When we restrict the visibility of, remove, or disable access to specific content, suspend or terminate monetary payments or the provision of the Service in whole or in part, or suspend or terminate an account, we will provide the affected user with a clear and specific statement of reasons explaining (a) the restriction imposed, (b) the facts and circumstances relied upon (including, where applicable, whether the decision was based on a notice or our own initiative, and whether automated means were used), (c) the legal or contractual ground for the decision, and (d) the redress avenues available, including the internal complaint-handling system in §16.6, out-of-court dispute settlement under DSA Article 21, and judicial redress. Statements of reasons will be sent through the app or by email.

16.6 Internal complaint-handling. EU users may contest a decision described in §16.5 free of charge by writing to dsa@common-app.co within 6 months of the decision. We review complaints in a timely, non-discriminatory, and non-arbitrary manner; decisions on complaints are taken under the supervision of qualified personnel and not solely on automated means. We will reverse our decision where the complaint shows it was ill-founded.

16.7 Out-of-court dispute settlement. EU users have the right to select any out-of-court dispute settlement body certified under DSA Article 21 to resolve disputes about decisions described in §16.5. We will engage in good faith with any such certified body. Our engagement is without prejudice to the user's right to seek judicial redress.

16.8 Trusted flaggers. Notices submitted by entities awarded trusted-flagger status by a Digital Services Coordinator under DSA Article 22 will be prioritized and decided without undue delay.

16.9 Measures against abuse. We may suspend, for a reasonable period and after a prior warning, the provision of the Service to recipients who frequently provide manifestly illegal content, and the processing of notices submitted by individuals or entities who frequently submit manifestly unfounded notices or complaints. We will exercise this power proportionately and only after considering the relevant circumstances.

16.10 Transparency reporting. Once required under the DSA, Common will publish an annual transparency report describing content moderation activities, including notices received, actions taken, complaints received, and the use of automated tools. We will publish the report at www.common-app.co/transparency.

16.11 No targeted advertising to minors; no profiling on special-category data. We do not show advertising on the Service and we do not engage in profiling based on special categories of personal data under GDPR Article 9.

17. Changes to these Terms

We may update these Terms. Material changes will be notified in-app or by email. Continued use after the effective date of changes constitutes acceptance.

18. Miscellaneous

18.1 Force majeure. Neither party will be liable for any failure or delay in performing its obligations under these Terms (other than payment obligations) caused by an event beyond its reasonable control, including natural disasters, fires, floods, epidemics or pandemics, acts of war or terrorism, civil unrest, government action, network or power outages, or failures of third-party services on which the Service depends. The affected party will use reasonable efforts to resume performance.

18.2 Assignment. You may not assign these Terms or any of your rights or obligations under them without our prior written consent. Common may assign these Terms in whole or in part, including in connection with a merger, acquisition, sale of assets, or reorganization, to an affiliate or successor entity, on notice to you and provided that the assignee assumes Common's obligations.

18.3 Severability and waiver. If any provision is unenforceable, the remainder remains in effect. Our failure to enforce a provision is not a waiver.

18.4 Entire agreement. These Terms (together with the Privacy Policy and Community Guidelines) are the entire agreement between you and Common regarding the Service and supersede any prior agreements on the same subject.

19. App Store Additional Terms

These Terms are between you and Common only, not with Apple or Google. The app stores are not responsible for the app or its content. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you. You must comply with the applicable app-store terms of service. For subscriptions, the store handles billing, renewals, and refunds per its policies.
